Terms of Service

1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Off The Clock Studio LLC, a Georgia limited liability company (“Trace,” “we,” “us,” or “our”), governing your use of the Trace website at tracebio.app and the Trace mobile applications for iOS and Android (together, the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use Trace. By using the Service you represent that you are 18 or older and have the legal capacity to enter into these Terms.

3. What Trace is

Trace is an informational and educational tool. It lets you explore ingredients and the compounds they contain, view documented compound interactions with their stated mechanisms and sources, and build, save, and share recipes. Some data fields are marked as pending research or as estimates, and our reference data may be incomplete or contain errors.

Trace is available on the web at tracebio.app and as mobile applications for iOS and Android. Some features are offered as a paid subscription or a one-time purchase; the price, billing period, and cancellation terms are presented to you at the point of purchase and are governed by section 6.

4. Not medical, nutritional, or health advice

The Service is provided for general informational and educational purposes only. It is not medical, nutritional, dietary, or health advice, and it is not a substitute for professional judgment.
  • Nothing in the Service is intended to diagnose, treat, cure, or prevent any disease or health condition.
  • Information about compounds, interactions, benefits, allergens, and safety thresholds is general reference information and may be incomplete, out of date, or inapplicable to your circumstances.
  • Always consult a qualified healthcare professional before making decisions about your diet, health, supplements, or medical treatment — especially if you have a medical condition, allergy, or intolerance, are pregnant or nursing, or take medication.
  • Always verify allergen and safety information from authoritative sources — product labels, manufacturers, and your clinician. Trace does not provide allergen filtering, and any allergen information that appears in the Service is incomplete reference data. Do not rely on Trace for any allergy-critical or safety-critical decision.

You use the Service and any information in it at your own risk.

5. Your account

  • You must provide accurate information and keep it current.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Notify us promptly at privacy@tracebio.app of any unauthorized use or security concern.
  • You may delete your account at any time from Settings → Delete account, or by contacting us.

6. Subscriptions, payments, and trials

6.1 Free trial

Paid plans begin with a 7-day free trial. A valid payment method is required to start the trial. The trial converts automatically into a paid subscription at the end of the trial period and your payment method is charged the price shown at the point of purchase, unless you cancel before the trial ends. You may only use one free trial per account.

6.2 Billing and renewal

Subscriptions are billed in advance on a recurring basis for the billing period you select (monthly or annual) and renew automatically until you cancel. Each renewal is charged to your payment method on the renewal date at the then-current price for your plan.

6.3 Cancellation

You may cancel at any time from Settings → Subscription → Manage subscription, or, for a purchase made through an app store, in that store’s subscription settings. Cancellation takes effect at the end of the current billing period: you keep access until the period you have already paid for ends, and you are not charged again.

6.4 Price changes

We may change the price of a plan. Any change applies from your next billing period, and we will give you notice before it takes effect so you can cancel if you do not agree. The price of an existing billing period is never changed retroactively.

6.5 Refunds

Except where a refund is required by law, payments are non-refundable and partial periods are not refunded. Purchases made through the Apple App Store or Google Play are subject to that store’s refund policy and must be requested from the store. If you believe you have been charged in error, contact us at privacy@tracebio.app and we will look into it.

6.6 Payment processing

Web payments are processed by Stripe and our subscription and entitlement management is provided by RevenueCat. We never receive or store your full card details — those are handled by the payment processor. See our Privacy Policy for what these providers receive.

6.7 Purchases made through an app store

If you subscribe inside the iOS or Android app, the transaction is made with that app store, billing and renewal are managed by it, and its terms apply to the payment. Manage or cancel those subscriptions in that store’s account settings; we cannot cancel them for you.

6.8 Additional terms for app-store distributions

If you obtained the app from the Apple App Store or Google Play, you also agree to that store’s terms, and you acknowledge that: (a) these Terms are between you and Off The Clock Studio LLC only, and not with Apple or Google; (b) Apple and Google are not responsible for the Service or its content and have no obligation to provide any maintenance or support for it; (c) to the extent required by Apple’s terms, Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you; (d) Apple and Google are not responsible for addressing any claims relating to the Service, including product-liability claims, claims that the Service fails to conform to legal or regulatory requirements, or consumer-protection claims; (e) in the event the Service infringes a third party’s intellectual-property rights, we, not Apple or Google, are responsible for investigating, defending, and resolving that claim; and (f) you will comply with all applicable third-party terms, including your wireless carrier’s, when using the Service.

6.9 Lifetime

  • One-time purchase. A Founding Lifetime seat is paid once and does not renew.
  • What “lifetime” means. Lifetime means for as long as the Service is offered. It is not a guarantee that the Service will be provided for any particular length of time, and it does not entitle you to a refund if we discontinue the Service.
  • Limited quantity. Founding Lifetime is limited to 250 seats in total. Once they are claimed, it is no longer offered.
  • Web only. Founding Lifetime is sold only through the Trace website and is not available as an in-app purchase.
  • Non-transferable. A Founding Lifetime seat is tied to the account that purchased it and may not be sold, assigned, or transferred to another person or account.

7. Your content

  • You own what you create.You retain ownership of the recipes and other content you submit or create in the Service (“Your Content”).
  • License to us. You grant Trace a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and — where you choose to publish to community features — distribute Your Content, solely to operate, provide, and improve the Service. This license ends when you delete Your Content or your account, except for content others have already saved and for residual backup copies retained for a limited period.
  • Your responsibilities.You represent that you own or have the necessary rights to Your Content and that it does not infringe anyone’s rights or violate any law or these Terms.
  • Moderation. We may review, moderate, or remove content that violates these Terms or that we reasonably believe is unlawful, harmful, or infringing, but we are not obligated to monitor content.

8. Acceptable use

You agree not to:

  • use the Service for any unlawful, harmful, deceptive, or infringing purpose;
  • post content that is unlawful, defamatory, infringing, or that presents false health or safety information as authoritative;
  • attempt to access data or accounts that are not yours, or to bypass authentication, access controls, or row-level security;
  • scrape, harvest, or bulk-extract data from the Service, or reverse engineer, decompile, or attempt to derive source code, except where this restriction is prohibited by law;
  • interfere with, disrupt, overload, or attack the Service or its infrastructure; or
  • circumvent or interfere with the human-verification measures protecting account creation and sign-in.

9. Intellectual property

  • The Service — including its software, design, brand, the “Trace” name and logo, and our compiled reference data — is owned by Trace or its licensors and protected by intellectual property laws. Except for Your Content and as expressly permitted, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use.
  • Third-party data and images. Trace incorporates data from third-party sources and images from Unsplash. Ingredient photographs are provided under the Unsplash License and remain subject to it; where an Unsplash image appears we display the required photographer and Unsplash attribution. Third-party reference data remains subject to the terms of its respective sources.

10. Third-party services and links

The Service relies on and may link to third-party services — for example our hosting, authentication, email, and bot-protection providers, and external sites. We are not responsible for third-party services or content, and your use of them may be governed by their own terms.

11. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any information in it is accurate, complete, or current. Some jurisdictions do not allow certain exclusions, so some may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, Trace and its owners, members, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed US$100. Some jurisdictions do not allow certain limitations, so some may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Trace and its owners, members, and personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or of any law or third-party right.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (including 4, 6 to the extent stated, 7 to the extent stated, 9, 11, 12, and 13) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Georgia will have exclusive jurisdiction over any dispute not otherwise resolved, and you consent to venue there. Before filing any claim, you agree to first contact us at privacy@tracebio.app and attempt in good faith to resolve the dispute informally.

16. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, provide more prominent notice. Your continued use of the Service after an update means you accept the revised Terms.

17. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Trace regarding the Service.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
